For many owners of privately-held, small businesses, their entire net worth is invested in their business.   At a certain time, it may be prudent to monetize an ownership position and to diversify net worth for estate planning, management succession and other reasons.  Virginia Capital has consummated a number of transactions to provide owners partial liquidity (through a recapitalization) or full liquidity (through an outright buyout). 

 

Car Pool

Car Pool is a full-service car wash based in Virginia.  Prior to VCP’s acquisition, the company had been a family-owned enterprise since its founding in the 1970s.

 

The owner of Car Pool desired to fully exit the business.  VCP worked with the owner and company advisors to craft a tax efficient transaction.  Equity from VCP, along with senior debt, provided for a full liquidity event for the owner.  VCP provided management assistance post-transaction until a full-time CEO and controller were identified. 

 

The company recently completed a sale / leaseback of the majority of its real estate.  Sale proceeds will fund new full-service car wash locations in the Mid-Atlantic.
